* Initial Upfront Annual Royalty Fee payment is due upon execution of this Agreement. An additional Upfront Annual Royalty Fee at AMA’s then-current rates is due no later than July 31 of each subsequent year of the Term.
** If Licensee’s total royalties in the previous calendar year, inclusive of all Distribution Royalties and the Upfront Annual Royalty Fee (if it was paid), exceeds the minimum amount of total paid royalties detailed in Upfront Annual Royalty Fee table, an Upfront Annual Royalty Fee will be waived.

Distribution Royalty rates for applicable Licensing Models are listed below for the AMA content available for license under this Agreement. Royalty rates for content not currently included as Licensed Content under this Agreement are for reference only. Pursuant to Section 13.6, additional content may be added as Licensed Content upon execution of a written amendment to this Agreement, or such use may be subject to a separate license agreement.
